Acceptance of Terms
By booking, purchasing, or using services from SYL Cleaning Services (“Company,” “we,” “us,” or “our”), you agree to be legally bound by these Terms & Conditions.
If you do not agree, you must not use our services.
Independent Contractor Status
SYL Cleaning Services operates as an independent service provider. Nothing in these Terms creates a partnership, joint venture, or employment relationship with any client.
Quotes & Scope of Work

All quotes are estimates based on information provided by the client.

Final pricing may increase if actual site conditions differ from what was disclosed.

Services are limited strictly to the agreed scope of work.

Any additional services requested onsite may incur additional charges.
We reserve the right to refuse or discontinue services if conditions are unsafe, unsanitary beyond reasonable expectations, or materially different from what was described at booking.
Payment Terms

Payment is due immediately upon completion unless otherwise agreed in writing.

We reserve the right to charge interest on overdue amounts at the maximum rate permitted under Ontario law.

The client is responsible for all collection costs, including legal fees, if payment is not made.
Cancellations & Lockout Fees

Cancellations require a minimum of [24–48 hours] notice.

Late cancellations may incur a cancellation fee of up to 50% of the scheduled service price.

If we are unable to access the property at the scheduled time, a lockout fee may apply.
Limitation of Liability (Enhanced Protection)
To the fullest extent permitted by law:

Our total liability for any claim arising out of or relating to the services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

We shall not be liable for:
-
Indirect, incidental, special, punitive, or consequential damages
-
Loss of use of property
-
Business interruption
-
Lost profits or revenue
-
Pre-existing damage
-
Wear and tear, deterioration, or structural defects
-

Claims must be reported in writing within 24 hours of service completion. Failure to notify us within this timeframe constitutes a waiver of the claim.

Photographic evidence may be required to assess any damage claim.
Nothing in this section limits liability where such limitation is prohibited by Ontario law.
Cleaning-Specific Damage Waiver
The client acknowledges and agrees:

Cleaning may expose pre-existing damage, loose fixtures, deteriorated surfaces, improper installations, or prior poor repairs.

We are not responsible for damage resulting from:

Normal wear and tear
-
Improper installation of fixtures
-
Loose tiles, grout, caulking, or paint
-
Aged or brittle materials
-
Water intrusion due to pre-existing structural issues
-
Items not rated for moisture or cleaning agents

Clients must disclose fragile, delicate, valuable, or high-risk items prior to service. Failure to disclose such items releases SYL Cleaning Services from liability related to those items.
We are not responsible for:

Damage to items not properly secured

Electronics exposed to moisture
-
Artwork, collectibles, antiques, or high-value items unless previously disclosed and agreed upon in writing
If special handling is required, it must be requested in advance and may result in additional fees.
Client Responsibilities
The client agrees to:

Provide safe and lawful access to the property
-
Remove cash, jewelry, and highly valuable items prior to service

Secure pets
-
Inform us of hazards including biohazards, mold, pests, or unsafe structural conditions
We reserve the right to refuse service if conditions pose health or safety risks.
Satisfaction Policy
If you are not satisfied with the service provided, you must notify us within 24 hours. We may, at our discretion, offer a re-clean of the specific area identified.
Refunds are not guaranteed and are issued solely at the Company’s discretion.
Indemnification
The client agrees to indemnify, defend, and hold harmless SYL Cleaning Services from any claims, damages, losses, liabilities, and expenses arising from:

Undisclosed hazards

Client negligence
-
Improper maintenance of the property
-
Misuse of cleaned surfaces
Force Majeure
We are not liable for delays or failure to perform services due to events beyond our reasonable control, including but not limited to severe weather, illness, government restrictions, supply shortages, or emergencies.
Privacy
We collect and process personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA).
Governing Law
These Terms shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
All disputes shall be resolved exclusively in the courts of Ontario.
Amendments
We reserve the right to modify these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms.
